SureShots Teaching Professional Terms and Conditions

These Teaching Professional Terms and Conditions (“Terms”) govern participation in the SureShots Teaching Professional program, operated by SureShots Golf, LLC (“SureShots,” “we,” “us,” or “our”). These Terms apply to any golf teaching professional (“Teaching Professional,” “you,” or “your”) who enters into a Teaching Professional Agreement with SureShots referencing these Terms.

By signing a Teaching Professional Agreement, you agree to be bound by these Terms in full.

1. Voice Licensing and Consent

You grant SureShots a license to create an AI-generated voice replica based on a voice sample you provide, and to use that voice replica to generate audio content for distribution through the SureShots application.

This license is limited to content you have reviewed and approved in advance. SureShots will not use your voice replica to generate any content you have not approved.

You may request removal of any specific piece of approved content at any time, subject to the Content Survival provisions in Section 5.

2. Royalty Structure

You will receive a royalty equal to thirty percent (30%) of gross subscription revenue generated by students who register using your unique promo code or referral link, for as long as the subscription remains active and your content remains live on the platform.

Royalties are calculated and paid monthly, subject to a minimum payment threshold of $50. Amounts below the threshold roll over to the following month.

SureShots will provide you a monthly statement showing subscriber count and royalty amount attributable to your promo code.

3. Intellectual Property Ownership

SureShots retains all rights to the underlying instructional scripts, the SureShots application, and the technology used to generate voice content.

You retain all rights to your voice, likeness, and any original instructional content you provide.

The specific audio files generated using your voice replica and approved scripts are licensed to SureShots for distribution under your Teaching Professional Agreement and do not transfer ownership of your voice or underlying content to SureShots.

4. Term and Exit

Your Teaching Professional Agreement has an initial term of three (3) years from the effective date, renewing automatically for successive one-year terms unless either party provides written notice of non-renewal at least 30 days before the end of the then-current term.

Either party may terminate the Agreement for any reason with 30 days written notice.

5. Content Survival Upon Exit

If you terminate your Agreement or do not renew, no new students may register using your promo code or access your content from the date of termination forward.

Students who subscribed prior to termination retain access to your existing content for the remainder of their then-current subscription term. Your royalty on those existing subscribers ends as of the termination date; SureShots retains all subscription revenue from that point forward.

SureShots may, at its discretion, offer affected students the option to continue their subscription with access to SureShots’ standard content library in place of your content.

6. Transferability

Your Teaching Professional Agreement, including all rights and obligations of SureShots, automatically transfers to any successor entity in the event of a merger, acquisition, or sale of substantially all of SureShots’ assets.

Your obligations under the Agreement remain binding on you and are not assignable by you without SureShots’ written consent.

7. Employer and Authority Warranty

You represent and warrant that you have the legal right and authority to enter into your Teaching Professional Agreement, and that doing so does not violate any employment agreement, facility agreement, or other contractual obligation you are subject to.

You are solely responsible for any conflict between your Agreement and your other commercial relationships.

8. Multi-Instructor Business Accounts

If you operate or are affiliated with a multi-instructor golf instruction business, your Agreement may designate you or another individual as the Business Account Owner. The Business Account Owner may add and remove individual instructors under the account, assign and reassign students between instructors, and receives all royalty payments generated by every instructor’s promo code under the account, regardless of which instructor generated the subscription.

Individual instructors under a Business Account Owner do not receive royalty payments directly from SureShots. Compensation arrangements between a Business Account Owner and individual instructors are outside the scope of these Terms and are solely between those parties.

9. Limitation of Liability

IN NO EVENT SHALL A PARTY HERETO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA OR USE, INCURRED BY THE OTHER PARTY OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING OUT OF OR RESULTING FROM THIS AGREEMENT. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply. The liability limitations of this Section 9 shall not apply to either party’s indemnification obligations hereunder or any action resulting from a breach of the confidentiality or intellectual property provisions of this document.

10. Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the substantive law of the State of Texas. The parties intend to and hereby do confer jurisdiction upon the courts of any jurisdiction within the State of Texas to determine any dispute arising out of or related to these Terms and Conditions, including the enforcement and the breach hereof.

11. Updates to These Terms

SureShots may update these Terms from time to time. We will provide you notice of any material changes. Your continued participation in the SureShots Teaching Professional program following such notice constitutes acceptance of the updated Terms.

Changes to your royalty rate require your affirmative written consent and cannot be made unilaterally by SureShots.
